1. Agreement to Terms

By accessing or using Sygnaal ("Service"), you agree to be bound by these Terms of Service. Sygnaal Inc. ("we," "us," or "our") operates as an independent artist platform providing music distribution, fan analytics, direct-to-fan sales, and financial services. If you do not agree with any of these terms, you are prohibited from using or accessing this Service.

2. Platform Description

Sygnaal provides the following services:

  • Music Distribution: Upload and distribute your music content
  • Fan Analytics: Geographic and demographic insights about your audience
  • Direct-to-Fan Sales: Sell music, merchandise, and tickets directly to fans
  • Financial Services: Wallet, payments, and card services through banking partners
  • Community Features: Music battles, messaging, and fan engagement tools

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

  • You are responsible for safeguarding your password
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized access
  • You may not use another user's account without permission

4. Artist Terms

If you are an artist using our platform, you agree to the following:

Content Ownership

YOU OWN YOUR CONTENT

You retain full ownership of all music, artwork, and content you upload. Sygnaal does not claim any ownership rights to your content.

License Grant

By uploading content, you grant Sygnaal a non-exclusive, worldwide license to:

  • Display and distribute your content on the platform
  • Process and store your content for service delivery
  • Generate analytics from fan engagement with your content

This license terminates when you remove your content or delete your account.

Revenue and Payments

  • You set your own pricing for content and merchandise
  • Revenue is deposited to your Sygnaal wallet
  • Payouts are processed according to our payout schedule
  • Platform fees are disclosed in your artist dashboard

Content Requirements

  • You must own or have rights to all content you upload
  • Content must not infringe on third-party intellectual property
  • Content must comply with our Community Guidelines
  • You are responsible for obtaining necessary licenses for samples or covers

5. Fan Terms

If you are a fan using our platform, you agree to:

  • Purchased content is for personal use only and may not be redistributed
  • You will not engage in harassment or abusive behavior
  • You will not attempt to circumvent payment or access controls
  • You will respect artist content and intellectual property

6. Financial Services

Sygnaal provides financial services including wallets, payments, and card services through our banking partners.

Wallet Services

  • Funds in your wallet are held by our banking partners
  • You may withdraw funds according to our payout policies
  • Minimum payout thresholds may apply

Card Services

  • Cards are issued by Stripe in partnership with banking institutions
  • Additional terms from card issuers may apply
  • You are responsible for card security and authorized use

7. Payments and Refunds

All payments are processed securely through Stripe. Refunds are handled as follows:

  • Digital content purchases are generally non-refundable
  • Merchandise refunds follow seller policies
  • Event ticket refunds depend on event cancellation policies
  • Technical issues preventing access may qualify for refunds

8. Intellectual Property

The Sygnaal platform, including its design, features, and functionality, is owned by Sygnaal Inc. and protected by copyright, trademark, and other laws. You may not copy, modify, or create derivative works of our platform without permission. User-generated content remains the property of the respective users.

9. Prohibited Activities

You may not:

  • Upload content you do not have rights to
  • Engage in fraud, scams, or deceptive practices
  • Harass, threaten, or abuse other users
  • Attempt to hack, exploit, or compromise the platform
  • Use bots or automated systems without authorization
  • Circumvent security measures or access controls
  • Upload malware, viruses, or malicious code
  • Scrape or harvest user data
  • Use the platform for illegal activities

10. User Safety & Content Moderation

ZERO TOLERANCE POLICY

Sygnaal has zero tolerance for objectionable content or abusive users. Any user who violates these standards will have their content removed and may be permanently banned from the platform.

Objectionable Content

The following types of content are strictly prohibited on Sygnaal:

  • Content that promotes hate speech, discrimination, or violence against individuals or groups
  • Sexually exploitative or non-consensual intimate content
  • Content that promotes self-harm or suicide
  • Content depicting or promoting terrorism or extremist activities
  • Harassment, bullying, or threats directed at other users
  • Content that exploits or endangers minors in any way
  • Spam, scams, or deliberately misleading content
  • Impersonation of other individuals or artists

Reporting & Blocking

Sygnaal provides built-in tools to help users protect themselves and the community:

  • Report Content: Users can flag objectionable content directly within the app by using the report function on any user profile or content item
  • Block Users: Users can block abusive users at any time. Blocking immediately removes the blocked user's content from your feed and prevents them from contacting you. Blocking also notifies Sygnaal of the inappropriate behavior
  • Report Categories: Reports can be filed for spam, harassment, hate speech, inappropriate content, impersonation, copyright violation, fake accounts, underage users, self-harm, violence, and other violations

Enforcement

Sygnaal is committed to maintaining a safe community. Our enforcement process includes:

  • 24-Hour Response: All reports of objectionable content are reviewed and acted upon within 24 hours of receipt
  • Content Removal: Objectionable content will be removed promptly upon verification
  • User Ejection: Users who provide objectionable content or engage in abusive behavior will be ejected from the platform
  • Escalation: Severe violations, including content that endangers minors or promotes violence, will be reported to the appropriate authorities

11. Copyright and DMCA

We respect intellectual property rights and respond to valid DMCA takedown notices. If you believe your copyright has been infringed, please contact us with:

  • Identification of the copyrighted work
  • Identification of the infringing material
  • Your contact information
  • A statement of good faith belief
  • A statement of accuracy under penalty of perjury
  • Your physical or electronic signature

12. Limitation of Liability

To the maximum extent permitted by law, Sygnaal shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, secure, or error-free. We are not responsible for content uploaded by users.

14. Indemnification

You agree to indemnify and hold harmless Sygnaal, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your content, or your violation of these Terms.

15. Termination

We may suspend or terminate your account at any time for violations of these Terms. Upon termination:

  • Your right to use the Service immediately ceases
  • You may request export of your data within 30 days
  • Pending payouts will be processed according to our policies
  • Provisions that should survive termination will remain in effect

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes through the app or by email at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
